Acceptance Of Terms

Please carefully review the following Terms and Conditions, as they form a legally binding agreement between you and Blaaiz Innovations Technology Ltd. This company, incorporated in Canada with the registration number 15490561, has its registered office at 607-55 Warrender Avenue, Etobicoke, M9B 0C7, ON, CA. When we mention " Blaaiz Innovations Technology Ltd" , "Blaaiz", "We", "Our", or "Us", we are referring to the same entity. This agreement specifically pertains to your access and use of our website at www.blaaiz.com, including any subdomains linked to or associated with our website and any future versions of the website ("Website").

These Terms and Conditions are applicable to all users of the Blaaiz platform, which includes both merchants and service providers, as well as individuals who simply view the content available on or through the Website ("Content ").

To engage with the Blaaiz platform, you must be of the age of majority in your jurisdiction. The Blaaiz platform is not available for use on behalf of another person or entity. The individual accessing or using the Blaaiz platform or Blaaiz services is referred to as "User", " "You", or "Your".

The Blaaiz platform offers financial services such as money transfer services, money remittance services, international money remittance services, and payment services which may be governed by additional terms and conditions.

Your access, browsing, and use of the Blaaiz platform signifies your understanding and acceptance of these Terms and Conditions. If you do not agree with these Terms and Conditions, you should not access or use the Blaaiz platform.

Users

The Blaaiz Platform provides Customers, as well as other users of the platform ("Customers"), access to a range of services. This includes financial services in collaboration with various financial institutions, rewards, and other products and services (together termed as "Financial Services"). Some of these Financial Services are offered directly by customers through the Blaaiz Platform. Both Customers and Merchants are collectively referred to as "Users" of the Blaaiz Platform, and these Terms and Conditions are applicable to all Users.

Regarding privacy, the Blaaiz Platform adheres to the Blaaiz Privacy Policy ("Privacy Policy"), which governs both the platform and Remittance Services. This policy is accessible at www.blaaiz.com or available upon request. The Privacy Policy may undergo modifications periodically. By accepting these Terms and Conditions, you also agree to the stipulations of the Privacy Policy. You are responsible for regularly reviewing these terms, which may be updated from time to time.

Supplementary Terms

These Terms and Conditions apply specifically to the access and use of the Blaaiz Platform. They exist alongside any separate agreements you may have with Blaaiz regarding Blaaiz Services. Should there be any discrepancies between these Terms and Conditions and the additional agreements, the provisions of the additional agreements will takeprecedence.

Service Providers

By agreeing to these Terms and Conditions, you are entering into an agreement with Blaaiz. Blaaiz may collaborate with various third-party service providers, which include merchants, financial service providers, and others (“Service Providers”) in relation to one or more aspects of the remittance services or their components. It is important to note that Blaaiz alone is responsible for the Blaaiz Platform, encompassing all maintenance, support, and content. However, by accepting these Terms and Conditions, you acknowledge that these Service Providers and their respective affiliates are considered third-party beneficiaries. This means that upon your acceptance, these Service Providers have the right to enforce these Terms and Conditions against you as third-party beneficiaries, specifically in relation to the servicestheyprovide.

Modification of These Terms or Blaaiz’s Platform

We hold the right to modify, suspend, or alter any aspect of the Blaaiz Platform at our discretion, and we may update portions or the entirety of these Terms and Conditions at any time, in line with applicable laws. Should there be substantial changes to either these Terms and Conditions or the Blaaiz Platform, we will provide advance notification. This will be done by posting an announcement and the revised Terms and Conditions on the Blaaiz Platform, and for those with a Blaaiz Account (as defined later), by notifying you through the email or postal address we have on record.

Your continued use of the Blaaiz Platform after such notification implies your acceptance of these changes. If you do not consent to these modifications, you have the option to discontinue using the Blaaiz Platform without any cost or penalty.

License To Use Blaaiz Platform

Blaaiz grants you a personal, revocable, non-exclusive, and non-transferable license to use the Blaaiz Platform, subject to your adherence to these Terms and Conditions. This license is solely for using the Blaaiz Platform in relation to Financial Services ("Permitted Use").

Reservation of rights

Blaaiz reserves the right to revoke this license and restrict access to the Blaaiz Platform at any time, for any reason, including but not limited to breaches of these Terms or usage beyond the Permitted Use. Upon such a decision, you are required to immediately cease access and use of the Blaaiz Platform.

Geographical Limitations

The availability of the Blaaiz Platform and specific Blaaiz Services may vary by location and may not be accessible at all times in all jurisdictions. The content on the Blaaiz Platform should not be seen as an offer or solicitation to purchase or sell Blaaiz Services or other services in jurisdictions where such activities are prohibited by law.

Changes To The Blaaiz Platform

Blaaiz has the right to modify or permit a third party to alter any information, material, or content on the Blaaiz Platform—including prices, features, availability of products, services, offers, and rewards—at any time without prior noticeorliability.

Restricted Access and User Representations

By using the Blaaiz Platform, you affirm and guarantee that you: (i) are not located in a nation subjected to a government embargo by Canada or the U.S., nor are you in a country identified as a “terrorist supporting” country by Canadian or U.S. authorities; (ii) are not named on any Canadian or U.S. government lists of forbidden or restricted parties; and (iii) will not utilize the Blaaiz Platform or its Services to aid or benefit any country, organization, entity, or individual that is embargoed or blocked by any government, including those on government sanctions lists..

Prohibited Uses

The Blaaiz Platform and its Content are to be used strictly for the Permitted Use. You are prohibited from, and shall not permit others to, or attempt to use the Blaaiz Platform or the Content in the following ways:

• Embedding, mirroring, or incorporating the Blaaiz Platform, its Services, or any Content in any other website, whether for-profit or nonprofi
• Using any automated or manual process, like robots or scrapers, to access, monitor, or copy any part of the Blaaiz Platform, its Services, or Content without Blaaiz’s explicit written consent.
• Violating any applicable laws.
• Circumventing any security measures that restrict access to the Blaaiz Services or Platform or ignoring any robot exclusion headers on the Content or Platform.
• Removing or permitting the removal of any watermarks, labels, or legal notices from the Blaaiz Platform or Content.
• Modifying or attempting to modify the Blaaiz Platform or its Services, including any changes to obscure ownership or source.
• Creating false headers, manipulating identifiers to disguise the origin of content, impersonating others, or falsely claiming an affiliation.
• Assisting, authorizing, or encouraging others to bypass, disable, or undermine any security measures or tools protecting the Blaaiz Platform or Services
• Distributing, selling, broadcasting, performing, transmitting, licensing, or sharing any part of the Blaaiz Platform or Content.
• Commercially exploiting the Blaaiz Platform through licensing, selling, renting, leasing, transferring, assigning, distributing, or hosting
• Decompiling, disassembling, reverse engineering, or creating derivative works from any part of the Blaaiz Platform, its Services, or Content.
• Infringing any legal, intellectual, or proprietary rights of others, including contractual obligations.
• Uploading or transmitting offensive, harmful, tortious, hateful, obscene, defamatory, or otherwise objectionable content as determinedbyBlaaiz.

Marketing Communications

Blaaiz may send you marketing or promotional materials via the Blaaiz Platform, mail, phone, email, text, or other methods. In regard to these materials, Blaaiz may have agreements that enable us to receive referral fees or other payments from third parties. For details on how we use and protect your personal information for marketing purposes, please consult our Privacy Policy at https://blaaiz.com/privacy-policy.

Alerts and Notifications

Blaaiz may occasionally provide automatic alerts and optional user account-related alerts. You might automatically receive notifications when there are specific changes to your account or information, such as updates to your registration details.

Voluntary account alerts might be activated by default with the Blaaiz Services, but you have the option to modify, turn off, or re-enable these alerts. Blaaiz reserves the right to introduce new alerts or discontinue existing ones at any time.

Please be aware that various factors might delay or prevent the delivery of alerts. While Blaaiz aims to promptly deliver alerts with accurate information, we cannot guarantee their delivery, timeliness, or accuracy. Blaaiz is not liable for inaccuracies, delays, misdirection, or any actions taken or not taken based on the information in these alerts.

Mobile Device Access

Certain features designed to enhance your experience with the Blaaiz Platform and Services may require access to your mobile device. These optional features may use additional data on your device or require access to specific services like photo uploading, social connectivity, or location data for special area-based rewards and services.

We will only access such services on your mobile device for the purposes outlined at the time you grant access, should you choose to do so.

Blaaiz Content Ownership

All content on the Blaaiz Platform, except for User Content, is either owned by or licensed to Blaaiz and is protected by copyright, trademark, and other intellectual property laws ("Blaaiz Content"). Blaaiz explicitly retains all rights, titles, and interests in the Blaaiz Platform, Blaaiz Content, and any other materials provided under these Terms and Conditions, unless specifically granted to you. You acknowledge that Blaaiz (or its third-party suppliers or licensors, if applicable) holds all rights, titles, and interests in the Blaaiz Platform, Blaaiz Content, and related materials, including any modifications, derivative works, and intellectual property rights. These are licensed, not sold, to you.

User Content Responsibility

Users of the Blaaiz Platform are solely responsible for any User Content they upload, post, email, transmit, or otherwise make available. This includes information, data, text, software, music, sound, pictures, images, videos, messages, or other materials. The user, not Blaaiz or its members, is fully responsible for all such material. While Blaaiz may occasionally monitor User Content, we do not guarantee its accuracy, integrity, or quality. Blaaiz and its members are not liable for any loss or damage arising from the use or viewing of any User Content. Any personally identifiable information in your User Content is governed by the Blaaiz Privacy Policy, and all other User Content is considered non-confidential.

License Granted to Blaaiz for User Content

By submitting, posting, or displaying User Content on or through the Blaaiz Platform, or otherwise to Blaaiz, you grant us a non-exclusive, perpetual, transferable, and fully sublicensable right to use, remove, replicate, modify, publish, translate, create derivative works from, distribute, transmit, perform, display, or otherwise utilize such User Content, in whole or in part. You also waive any moral rights in this respect. You authorize Blaaiz to take legal action against any infringement of these terms and rights in the User Content. You guarantee that your User Content complies with all legal requirements to grant these rights. Users are not obligated to post or display User Content on the Blaaiz Platform.

Use of Content by Other Users

You may use other users' content and Blaaiz Content only for the relevant Permitted Use. If you print parts of the Blaaiz Platform for personal, non-commercial use, you must not modify the materials in digital or printed form, nor use any graphics, images, photos, or videos separately from the accompanyingtext.

Submission and User Content Guidelines

You may have the opportunity to submit ratings, reviews, ideas, or other feedback ("Submissions") via the Blaaiz Platform. Submissions are a type of User Content. When creating and posting any Submissions (or other User Content), in addition to adhering to the terms outlined in these Terms and Conditions, you represent and warrant that your content will not:

(i) Violate any local, provincial, territorial, federal, national, or international laws;(ii) Be unlawful or fraudulent;(iii) Constitute unauthorized advertising;(iv) Contain defamatory, obscene, or offensive material;(v) Promote violence or discrimination;(vi) Infringe on another's intellectual property rights;(vii) Breach any legal duty owed to a third party, like a duty of confidence;(viii) Promote illegal activities or infringe upon privacy rights;(ix) Appear to originate from Blaaiz;(x) Be used for impersonation or misrepresentation of your affiliation with another person.

You are solely responsible for any damages resulting from violating these restrictions or any harm caused by your Submissions or User Content on the Blaaiz Platform.

Management of Submissions

Blaaiz may remove or edit Submissions or other User Content on the Blaaiz Platform if it violates the above guidelines, is objectionable, or potentially exposes us or third parties to liability. Submissions on the Blaaiz Platform serve informational purposes only and do not reflect our views or those of Blaaiz Members. Opinions expressed in User Content are those of the customers who have used the Blaaiz Platform and are their own. Blaaiz and Blaaiz Members disclaim all liability to the fullest extent permitted by law for any User Content, including errors, defamation, obscenity, omissions, or falsehoods.

Public Display and Moderation of Submissions

By submitting content, you acknowledge that Blaaiz may choose to attribute your Submissions (e.g., by including your name, date, and province or territory) and that such content may be visible to other users and visitors. Blaaiz may use your name and location in connection with your Submissions. All Submissions may undergo moderation before publication to ensure adherence to our content standards.

Advertisements and Endorsements

By engaging with advertisers on the Blaaiz Platform, you acknowledge that any business transactions are strictly between you and the advertiser. Blaaiz and its members are not liable for any loss or damage incurred from such dealings.

Third-Party Links

The Blaaiz Platform may include links to third-party websites for your convenience. Using these links means leaving the Blaaiz Platform. We do not control these third-party sites and are not responsible for their content or availability. We do not endorse these sites and are not liable for any outcomes from using them. Accessing any third-party websites linked to the Blaaiz Platform is at your own risk and subject to those websites' terms.

Platform Availability and Updates

The Blaaiz Platform may occasionally be unavailable due to maintenance or technical issues. We may update the platform without notice. While we strive for constant availability, we do not guarantee uninterrupted access. We are not liable for any periods of inaccessibility.

Viruses

Downloading and accessing the Blaaiz Platform is at your own risk. We cannot guarantee that the platform or content will be free from viruses or other harmful elements. You are responsible for protecting your computer system and bear all costs for services, repairs, or connections due to your use of the platform.

Security and Communication

Confidentiality of communications via the Blaaiz Platform is not guaranteed. Despite adhering to industry standards, we cannot ensure the security of data transmitted over the internet. We are not liable for any harm or loss resulting from the electronic transmission of sensitive or confidential information.

Content Accuracy

We attempt to ensure the accuracy of information on the Blaaiz Platform but do not guarantee it. Content, including prices and offers, may change without notice, and we are not obligated to update it.

Advice and Content Disclaimer

Content on the Blaaiz Platform should not be considered professional advice in legal, accounting, financial, tax, or other fields.

Additional Costs

You are solely responsible for any additional costs or expenses incurred from using the Blaaiz Platform, including maintenance, repairs, or customization of any equipment, software, or data.

Disclaimer of Implied Warranties

The Blaaiz platform and its content are provided on an “as is” basis without any warranties or conditions of any kind. Blaaiz expressly disclaims all warranties and conditions, whether express, implied, statutory or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Blaaiz platform or its content will be error-free or uninterrupted.

Exclusion of Certain Damages

Under no circumstances will Blaaiz and its affiliates, along with their shareholders, officers, directors, agents, representatives, employees, parents, and subsidiaries (collectively, "Blaaiz Parties"), be liable for any kind of damages (including direct, indirect, incidental, consequential, special, exemplary, punitive damages, lost profits, loss of revenue or data, personal injury, fines, fees, or penalties) arising from or in connection with the use or inability to use the Blaaiz platform or its content, regardless of whether they were advised of the possibility of such damages.

No Liability for Merchant Actions

Merchants on the Blaaiz platform are independent entities and not representatives or employees of Blaaiz. Therefore, Blaaiz Parties are not responsible for any actions, mistakes, omissions, representations, warranties, breaches, or negligence of these merchants, nor for any personal injuries, deaths, property damages, or other damages or expenses resulting from the merchants' actions.

Limitation of Liability

The total aggregate liability of Blaaiz Parties under these terms and conditions, including but not limited to the use or inability to use the Blaaiz platform or its content, will not exceed fifty Canadian dollars (CDN $50.00). This limit applies regardless of the number of claims made under these terms.

Risk Allocation

The above limitations reflect an allocation of risk essential to the provision of the Blaaiz platform to users. These limitations will apply even if any limited remedy specified in these terms is found to be ineffective or non-enforceable.

Scope of References

In this section, references to "Blaaiz" include the company's affiliates, shareholders, officers, directors, representatives, agents,andemployees.

Indemnification Agreement

You agree to defend, indemnify, and hold harmless the Blaaiz Parties from any actual or threatened claims, actions, losses, damages, fines, penalties, liabilities, costs, expenses (including reasonable legal fees), resulting from or connected to:

• Your breach of these Terms and Conditions or any related documents.
• Your infringement of any laws or third-party rights, including intellectual and proprietary rights.
• Your or any third party's violation of agreements related to offers redeemed through your actions or with your permission.

Assumption of Defence

Blaaiz has the right to take over the exclusive defense and control of any matter that you are required to indemnify, and this will be at Blaaiz’s own expense. You are expected to provide reasonable cooperation as requested by Blaaiz inthesematters.

Governing Law

This Agreement is governed by the laws of the province or territory of your residence. You agree to the jurisdiction of courts in your province or territory for any matters arising from this Agreement. These laws apply to your access and use of the Blaaiz Platform, Services, and Content, regardless of your location. The Blaaiz Platform, Services, and Content are intended for use only in jurisdictions where they are legally permitted.

Dispute Resolution Process

Blaaiz has a process for addressing customer complaints and disputes. Please contact us with any issues regarding the Blaaiz Platform or these Terms and Conditions. Disputes will be handled individually, unless prohibited by law. You must present claims on an individual basis and not as a class plaintiff or class representative in any class action or collective proceeding against Blaaiz members. We reserve the right to seek interim measures, including injunctions for intellectual property rights breaches, from a court.

Interpretation

Unless context dictates otherwise, plural references include singular, singular includes plural, and part includes whole. "Including" means "including without limitation." References to "hereunder" or "herein" pertain to these Terms and Conditions. Section headers are for reference only and not for interpretation.

Entire Agreement

These Terms and Conditions, and any incorporated documents, constitute the entire agreement between you and Blaaiz regarding the Blaaiz Platform and supersede all prior communications.

Notices

Blaaiz may communicate notices regarding these Terms and Conditions through the Blaaiz Platform or your registered email. Force Majeure

Blaaiz is not liable for failure or delay in obligations under these Terms and Conditions due to events beyond its reasonable control, including acts of God, natural disasters, power outages, internet issues, war, labor disputes, embargoes, government orders, or other force majeure events.

General Provisions

Failure to enforce any rights or requirements by Blaaiz does not constitute a waiver. If any provision is found void or unenforceable, it will be modified to achieve the intent of the original provision to the fullest extent possible, and other provisions will remain in effect. These Terms and Conditions are written in English at the parties' request. Your rights or obligations under these Terms and Conditions cannot be transferred without our written consent. Blaaiz may transfer its rights or obligations to affiliates or in connection with joint ventures, sales, or acquisitions without your consent.

Blaaiz Innovation Technologies (Blaaiz) is offering new and existing customers the opportunity to participate in its Customers Reward Program (the Program). The Program is a scheme through which Blaaiz appreciates its Customers for using its service.

The Program is governed by these Terms and Conditions and by participating in the Program, a Customer agrees to be bound by the terms specified therein as well as any subsequent changes or modifications made by Blaaiz.

If a Customer does not agree with the Terms and Conditions in their entirety, such a Customer should not participate in the Program.

Refer and Earn Program

Customers will be able to earn C$10 for each referred person - friend, family member, colleague, or acquaintance - who joins Blaaiz platform through their dedicated referral link (the “Invitee”). For Customers to be eligible to participate in the Scheme (that is to become a Referrer), the Customer must operate an active Blaaiz account and such Customer must have completed its Know Your Customer (KYC) verification and the account active.

Please note that account opening on the Blaaiz platform is subject to Blaaiz's normal account opening process and approvals in accordance with applicable law. As such, should an Invitee not successfully open an account, a Referrer shall not be entitled to the bonus.

Refer and Earn Conditions

Milestone Program

This Program rewards existing Customers with a cashback bonus, up to the sum of C$50, upon reaching a predetermined monthly transfer total. Every C$1,000 paid out in a month qualifies the existing Customers to earn C$10. This will be paid out upon verification and satisfaction of the completed milestone.

Milestone Program Conditions

Tier System

The Tier System is designed to reward existing Customers based on their lifetime cumulative payout achievement on Blaaiz. Customers are automatically assigned the lowest tier upon registration. They are required to increase their transfer volume through legitimate payouts in order to climb up the tiers. The higher a tier, the premium the benefits.

Referral and Milestone Programs Bonus

General Terms

Blaaiz reserves the right to prohibit a Customer from participating in the Program or receiving a Reward/Bonus, if it determines that such a Customer is attempting to undermine (or has undermined) the fairness, integrity or legitimate operation of the Program in any way by

(a) cheating, hacking, deception, or any other unfair conduct;(b) using any affiliate website, affiliate network properties or automated systems to participate in the Program;(c) round-tripping;(d) using multiple or fake email addresses or accounts, fictitious identities or bots or other device or artifice to participate in the Program or receive a Reward.

Customers understand and agree that Blaaiz shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including, but not limited to,

(i) damages for loss or use of data or other intangible losses, resulting from the use or the inability to use the Program;(ii) transactions entered into through, from, or as a result of the Program;(iii) unauthorised access to or alteration of their data;(iv) statements or conduct of any third party on or in connection with the program.

If one or more provisions of these Terms and Conditions are void or invalid, this will not affect the validity of the remaining conditions herein.

These Terms and Conditions shall be governed and construed in accordance with the laws of the province or territory of your residence.
